These terms govern our post-authorisation support services: the free Calendar tier, and the Returns and Partner subscriptions. They are separate from our application service terms, which continue to govern work on an FCA authorisation application.
1. Who we are
CreditLicence is a trading name of Pi Zeta Ltd, a company registered in England & Wales (Company No. 10132555), with its registered office at 2nd Floor, 10-12 Bourlet Close, London, W1W 7BR. You can contact us at info@creditlicence.com.
We are not authorised or regulated by the Financial Conduct Authority. We provide administrative and preparatory services. Nothing we provide is regulated advice, and we are not able to give regulated advice.
2. Who these terms apply to
These terms apply where you subscribe to our Returns or Partner service. You must be a firm authorised by the FCA holding limited permission for consumer credit activities. It makes no difference whether we prepared your original application.
You confirm that the person agreeing to these terms is authorised to enter into contracts on behalf of your firm.
3. What the services include
Returns — £420 per year
- Preparation and submission of your CCR007 annual return through the FCA's RegData system, once per subscription year
- Completion of your annual firm details attestation
- Preparation and submission of standing data change notifications during the subscription year
- A check of your annual FCA invoice against the published fee rates for your fee block
- One Form A or Form C submission per subscription year, where the individual holding your SMF29 function changes
- Everything in the free Calendar service (section 12)
Partner — £840 per year
Everything in Returns, plus:
- One annual review and refresh of your regulatory business plan and the policy documents we hold for you
- An annual Consumer Duty review note
- One review per subscription year of your financial promotions material, up to a reasonable volume (section 8)
- Answers to questions by email through the subscription year, subject to fair use (section 8)
4. What the services do not include
For the avoidance of doubt, neither tier includes:
- Acting as your SMF29 or holding any controlled or senior management function in your firm
- Regulated advice of any kind
- Legal, accounting, tax or audit services
- Preparing your statutory accounts or filing at Companies House
- Applications for a variation of permission, additional permissions, or a new authorisation — these are quoted separately
- Responding to FCA enforcement action, supervisory intervention, skilled person reviews or formal investigations
- Handling customer complaints, or representing you at the Financial Ombudsman Service
- Any return, report or notification not listed in section 3
5. Your responsibilities
You remain responsible for your firm's compliance with the FCA's rules at all times. Specifically, you agree to:
- Provide accurate and complete information, including your consumer credit income figure, at least 20 working days before any deadline we are working to
- Maintain your own RegData and FCA online invoicing access, and provide us with the access we need to submit on your behalf
- Review and approve any return or notification before we submit it, where we ask you to
- Tell us promptly when something changes — address, directors, SMF29 holder, accounting reference date, ownership, or the activities you carry on
- Tell us if you receive correspondence from the FCA that relates to work we are doing
We rely on the information you give us. We do not audit it, and we are not responsible for the consequences of information that is inaccurate, incomplete or provided late.
6. Deadlines and responsibility
We will prepare and submit the returns listed in section 3 in good time, and we will confirm each submission to you in writing on the day it is made. If you have not received our written confirmation, you should assume the submission has not been made and contact us.
However:
- The regulatory obligation remains yours. It is your firm's return, your firm's deadline, and your firm's authorisation. Engaging us does not transfer that obligation and cannot do so. You should satisfy yourself that each submission has been made.
- We are not responsible for a missed deadline, or any resulting FCA administrative fee, where you have not given us the information we need within the period in section 5, or where you have not maintained the access we need to submit.
- Our liability for any failure on our part is governed by section 11.
7. Term, renewal and price
- Subscriptions run for 12 months from the date we confirm your subscription has started.
- We will remind you before renewal. Subscriptions renew annually unless you tell us otherwise before the renewal date.
- We may change our prices for a renewal period. We will tell you at least 30 days before the renewal date, and you may decline the renewal.
- The FCA's own fees and levies are not included in our fee. Those are paid by your firm directly to the FCA, and their level is set by the FCA and outside our control.
8. Fair use
The Partner tier includes email questions and a financial promotions review. These are provided on a fair use basis, which we define as:
- Up to 12 email enquiries in a subscription year, each being a discrete question rather than an ongoing matter
- Up to 6 items of financial promotions material reviewed in a subscription year
- Responses within 3 working days, on working days only
Where your usage substantially exceeds this, we will tell you and offer either a quote for the additional work or a move to an arrangement that fits. We will not simply stop responding without telling you first.
9. Cancellation and refunds
- You may cancel at any time by email to info@creditlicence.com.
- If you cancel before we have prepared or submitted anything in that subscription year, we refund the fee in full.
- If you cancel after we have prepared or submitted a return, attestation or notification in that subscription year, the fee for that year is not refundable, as the substantive work has been done.
- We may end the agreement, refunding the unused portion of the year, if you do not provide information or access we need, or if we reasonably believe continuing would place us in breach of any legal or professional obligation.
- Ending the agreement does not affect any obligations your firm owes the FCA.
10. Confidentiality and data protection
We keep your firm's information confidential and use it only to provide the services. We process personal data as described in our privacy policy, and we act as a data processor in respect of personal data you provide about individuals in your firm.
We will not name you as a client publicly without your written consent.
11. Our liability
- We do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
- Subject to that, our total liability arising from the services in any subscription year is limited to the fees you paid for that subscription year.
- We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of goodwill.
- We are not liable for the FCA's decisions, its fees, the time it takes, or any action it takes in respect of your firm.
12. The free Calendar service
The Calendar service is free and provided on this basis:
- We send you deadline dates calculated from the information you give us, and reminders before them.
- The dates are indicative and based solely on what you tell us. You should confirm your own deadlines through RegData, which is authoritative.
- We give no warranty as to accuracy, and we accept no liability for a missed deadline. It is a courtesy reminder, not a compliance service.
- We may stop providing it, or change it, at any time.
- You can stop the reminders at any time by replying to one, or by emailing info@creditlicence.com.
- We will not pass your details to any third party. We may occasionally tell you about our paid services; you can decline and we will stop.
13. General
- These terms, and our confirmation of your subscription, are the whole agreement between us.
- If any part is found unenforceable, the rest continues to apply.
- We may update these terms for future subscription years, telling you before renewal.
- These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
